We provide WebStats.uk “as is” with reasonable skill and care, but without warranties of uninterrupted availability. Your maximum aggregate liability to us—and ours to you—is limited as described below.

2) Acceptance of the Terms

By accessing or using any part of WebStats.uk (including free trials, demos, or beta features), you agree to these Terms and to any policies referenced herein, including our Privacy Policy. If you do not agree, do not use the Services.

If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation and that “you” refers to the organisation.

3) Eligibility & accounts

  • You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
  • Provide accurate, complete information and keep it up to date. You are responsible for safeguarding your credentials and all activity under your account.
  • Notify us immediately of unauthorised use of your account at security@webstats.uk.

4) Subscriptions, trials, pricing & taxes

  • Plans & renewal. Paid plans are billed in advance and renew automatically at the then-current price unless cancelled before the renewal date in your billing settings.
  • Free trials. If offered, trials convert to paid unless you cancel before the trial ends. Eligibility may vary.
  • Pricing & changes. We may change prices or features with reasonable prior notice. Continued use after changes take effect constitutes acceptance.
  • Taxes. Prices may exclude VAT and other applicable taxes, which will be added where required.
  • Refunds. Except where required by law, fees are non-refundable. You may cancel at any time to stop future billing.
  • Payment processing. Payments are handled by our payment processor; we do not store full card numbers.

5) Acceptable use

You agree not to, and not to allow others to:

  • Use the Services unlawfully or to infringe the rights of others, including privacy and intellectual property rights.
  • Probe, scan, or test the vulnerability of any system or network; circumvent security or authentication.
  • Access or scrape the Services by means other than our publicly supported interfaces.
  • Send malware, spam, or perform denial-of-service attacks.
  • Exceed plan limits, remove proprietary notices, or resell/redistribute the Services without permission.

We may suspend or restrict access if we reasonably believe your use violates these Terms or poses a risk to the Services or others.

6) Your content & licences

  • You retain ownership of data and content you submit to or through the Services (“Customer Content”).
  • You grant us a worldwide, non-exclusive licence to host, process, transmit, analyse, display, and create derivative works from Customer Content solely as necessary to provide, maintain, protect, and improve the Services, and to comply with law.
  • You represent that you have all rights necessary to grant this licence and that your Customer Content does not violate law or third-party rights.
  • We may aggregate and de-identify data for analytics and service improvement. We will not attempt to re-identify de-identified data.

7) Our intellectual property

The Services, including software, interfaces, designs, compilations, and trademarks, are owned by us or our licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, create derivative works, reverse engineer, or otherwise exploit the Services.

8) Privacy & data protection

Our processing of personal data is described in our Privacy Policy. To the extent we process personal data as a processor on your behalf, a separate Data Processing Addendum (DPA) may apply; if applicable, it is incorporated by reference.

9) APIs, rate limits & fair use

  • We may provide APIs, webhooks, and SDKs. We can modify or discontinue them at any time.
  • We may impose rate limits, quotas, or other technical restrictions. Do not attempt to circumvent them.
  • Keys and tokens are confidential; do not share them publicly.
  • Attribution requirements (if any) must be followed as documented.

10) Third-party services

The Services may integrate with third-party products or services. Your use of any third-party service is subject to that provider’s terms and privacy policies, and we are not responsible for their actions or omissions.

11) Warranties & disclaimers

We will provide the Services with reasonable skill and care. However, the Services are otherwise provided “as is” and “as available”. We do not warrant that the Services will be uninterrupted, error-free, or meet your specific requirements. To the maximum extent permitted by law, we disclaim all other warranties, express or implied (including merchantability, fitness for a particular purpose, and non-infringement).

12) Limitation of liability

  • Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
  • We are not liable for: (a) indirect, incidental, special, exemplary, or consequential damages; (b) loss of profits, revenue, goodwill, data, or business interruption; even if advised of the possibility of such damages.
  • Cap. Subject to the first paragraph above, our total aggregate liability arising out of or relating to the Services will not exceed the greater of: (i) the amount paid by you to us for the Services in the twelve (12) months before the event giving rise to liability; or (ii) £100.

13) Indemnity

You will indemnify and hold us harmless from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your unlawful use of the Services or your violation of these Terms or third-party rights.

14) Suspension & termination

  • You may stop using the Services at any time and cancel your subscription in your billing settings.
  • We may suspend or terminate your access upon notice if you materially breach these Terms or if required by law or to protect the Services or other users.
  • Upon termination, your right to access the Services ceases. We may retain and/or delete Customer Content in accordance with our Privacy Policy and any applicable DPA.

15) Compliance, sanctions & export

You represent that you are not subject to applicable trade, economic, or financial sanctions or embargoes and will not use the Services in violation of such laws. You will not export or re-export the Services in violation of UK, EU, or other applicable export control laws.

16) Governing law & disputes

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute, except that we may seek injunctive relief in any jurisdiction to protect our intellectual property or confidential information.

If you are a consumer resident in the UK or EU, you may have additional mandatory rights to bring proceedings in your country of residence. Nothing in these Terms limits those rights.

17) Changes to the Service and these Terms

We may modify the Services and these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., via email or in-app). Continued use after changes take effect constitutes acceptance of the updated Terms.

18) Miscellaneous

  • Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control.
  • Severability. If any provision is unenforceable, the remaining provisions remain in full force.
  • No waiver. Failure to enforce a provision is not a waiver of that provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Third-party rights. A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term.
  • Entire agreement. These Terms, together with any order forms and policies referenced herein, constitute the entire agreement and supersede prior agreements regarding the Services.
  • Notices. We may send notices to the email associated with your account or by posting within the Service. You may send legal notices to legal@webstats.uk and to our registered office.
  • Beta features. Features labelled alpha/beta/preview may be unstable and are provided “as is”, may be discontinued, and may be subject to additional terms.
  • Open-source components. Some components may be provided under open-source licences. In case of conflict, those licences govern the relevant components.
  • Language. We provide these Terms in English (UK). Translations (if any) are for convenience only.
